Terms of Use
Last updated: July 31, 2026
These Terms of Use ("Terms") govern your access to and use of the Verica LLM evaluation platform, APIs, command-line tools, and the verica.app website (together, the "Service"), provided by MTN LABS LLC, doing business as Verica ("Verica", "we", "us"). By accessing or using the Service, you agree to these Terms.
01 Agreement to these terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, do not use the Service.
02 Eligibility and accounts
You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
03 The Service
Verica lets you build evaluation datasets, define grading criteria, run and score evaluations against LLM outputs, analyze failures, and gate releases in CI. We may add, change, or remove features over time. We aim to keep the Service available but do not guarantee uninterrupted or error-free operation.
04 Beta features
The Service may include features identified as beta, preview, or experimental. These features may contain bugs, change without notice, and have capabilities that are incomplete or evolving. They are provided "as is" and may be modified or discontinued at any time. We may use aggregate, anonymized usage information to improve the Service.
05 Acceptable use
You agree not to:
- Use the Service to violate any law or the rights of others, or to process content you do not have the right to use.
- Attempt to access another workspace's data, breach isolation, or circumvent security or authentication controls.
- Reverse engineer, resell, or build a competing service from the Service, except as permitted by law.
- Interfere with or disrupt the integrity or performance of the Service, including via excessive automated load.
- Upload malware, or use the Service to generate or distribute unlawful, harmful, or infringing content.
06 Your content and data
You retain all rights to the datasets, prompts, outputs, criteria, and other content you provide to the Service ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to operate and provide the Service to you. We do not use Your Content to train models. You are responsible for Your Content and for having the rights necessary to submit it.
07 Model provider keys and third-party services
The Service lets you connect third-party model providers using your own API keys. Your use of those providers is governed by their terms and policies, and you are responsible for any fees, usage limits, and compliance obligations associated with your keys. We are not responsible for third-party services or for outputs generated by third-party models.
08 Intellectual property
The Service, including its software, design, and content (excluding Your Content), is owned by Verica and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
09 Feedback
If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose, without obligation or compensation to you. Feedback does not include Your Content.
10 Fees
The Service offers a free plan and paid plans. The pricing, limits, and features of each plan are presented within the Service at the time of purchase. We may change fees or plans; if we do, we will give you reasonable advance notice and the opportunity to review the applicable pricing before new charges apply.
11 Confidentiality
If you participate in beta or preview programs, you may receive non-public information about the Service. You agree to keep such information confidential and to use it only to evaluate and use the Service, until and unless it becomes publicly available through no fault of yours.
12 Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Verica does not warrant that evaluation results, scores, or model outputs are accurate, complete, or suitable for any particular decision. You are responsible for how you use the results.
13 Limitation of liability
To the maximum extent permitted by law, Verica and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or one hundred U.S. dollars (US$100).
14 Indemnification
You agree to indemnify and hold harmless Verica and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.
15 Term and termination
These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or its users. On termination, your right to use the Service ends; sections that by their nature should survive will survive.
16 Export control and sanctions
You may not use the Service in violation of United States export-control or sanctions laws. You represent that you are not located in an embargoed country or territory and that you are not on any U.S. government restricted-party list.
17 Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Florida will have exclusive jurisdiction over any dispute that is not subject to arbitration or small-claims resolution, to the extent permitted by applicable law.
18 Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
19 General provisions
- Entire agreement — these Terms and our Privacy Policy are the entire agreement between you and Verica regarding the Service, and supersede any prior agreements on that subject.
- Severability — if any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full force.
- Waiver — our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment — you may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Notices — we may notify you through the Service or the email associated with your account; legal notices to Verica should be sent to [email protected].
- Force majeure — neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, war, labor disputes, internet failures, or acts of government.
